These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Sylivion Investment Management regarding your use of our financial consulting and research services.

• Signing a Service Agreement
• Accessing our website or digital platforms
• Receiving financial consulting or research materials

You acknowledge that you have read and agree to these Terms.

2. Nature of Services

Sylivion Investment Management operates as an independent financial consulting and research firm based in India.

Our services may include:

2.1 Financial Consulting

• Portfolio structuring guidance
• Asset allocation insights
• Market research and analysis
• Strategic financial planning discussions
• Investment education support

Sylivion:

• Is not registered with SEBI as an Investment Adviser or Portfolio Manager
• Does not provide discretionary portfolio management
• Does not execute trades on behalf of clients
• Does not hold or custody client funds or securities

All investment decisions and executions are made independently by clients through their chosen SEBI-registered intermediaries.

3. Client Responsibilities

3.1 Information Accuracy

• Provide accurate and complete financial information
• Disclose relevant risk tolerance and objectives
• Update Sylivion regarding material changes
• Review information and reports carefully

3.2 Independent Decision-Making

• You are solely responsible for final investment decisions
• You understand that consulting does not constitute regulated investment advice
• You acknowledge that market risks may result in losses
• You are encouraged to consult licensed tax and legal professionals

4. Fees and Payments

Fees are disclosed in the Service Agreement or Fee Schedule.

• Fees may be fixed, subscription-based, or project-based
• Payments are generally payable in advance
• GST or applicable taxes may be charged separately
• Fees are not based on assets under management unless lawfully permitted

5. Investment Risk Disclosure

• Market volatility may impact returns
• Economic and regulatory changes affect investments
• Liquidity risks may apply
• Past performance is not indicative of future results

6. Regulatory Status Disclosure

Sylivion Investment Management operates as an independent financial consulting and research firm in India.

The firm is not currently registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser, Portfolio Manager, Stock Broker, or Research Analyst.

Clients seeking regulated advisory services should consult SEBI-registered professionals.

7. Conflicts of Interest

We aim to operate transparently. If any referral arrangements or third-party relationships exist, they will be disclosed appropriately.

Employees may maintain personal investment accounts; however, client interests take priority.

8. Limitation of Liability

To the maximum extent permitted under Indian law:

• Sylivion is not liable for investment losses
• We are not responsible for broker execution errors
• We are not liable for third-party product performance
• We are not liable for indirect or consequential damages

Total liability shall not exceed fees paid for the relevant engagement.

9. Termination

Either party may terminate services in writing.

• Fees paid may be non-refundable unless specified
• Outstanding dues remain payable
• Confidentiality obligations survive termination

10. Governing Law

These Terms are governed by the laws of India.

Jurisdiction shall be exclusively with courts located in Pune, Maharashtra.

11. Dispute Resolution

Disputes shall first be resolved amicably. If unresolved:

• Referred to arbitration under the Arbitration and Conciliation Act, 1996
• Seat of arbitration: Pune, Maharashtra
• Decision of arbitrator shall be final and binding

12. Privacy

Your personal information is handled in accordance with our Privacy Policy and applicable Indian laws including the Digital Personal Data Protection Act, 2023.

13. Intellectual Property

All research materials, branding, content, and proprietary methodologies remain the intellectual property of Sylivion.

Unauthorized reproduction or redistribution is prohibited.

14. Force Majeure

Sylivion shall not be liable for failure to perform due to events beyond reasonable control including natural disasters, regulatory changes, market closures, or technological disruptions.

15. Amendments

We may modify these Terms from time to time. Continued use of services constitutes acceptance of revised Terms.
